    The NASBE Executive Committee has reviewed prior discussions about potential changes to our bylaws and has requested a membership vote as part of our upcoming Business Meeting scheduled for Monday, November 4, 2019.   Our analysis of past minutes (membership login required to view) references that a previous bylaw proposal was drafted; however, no evidence appears that membership took action to officially consider the proposal.  The 2019-2020 Executive Committee has recommended the approval of the following Bylaw Proposal in compliance with our Membership Notice Requirement: 

    Article X Amendments, Section 1. These bylaws may be amended or revised at a regularly scheduled Business meeting. Any active member may at any Business meeting introduce an amendment to these bylaws for consideration. Such proposed amendment shall be presented in writing to the executive committee, through the president, no less than 45 days before the meeting at which it will be proposed. All amendments must be submitted in writing to the NASBE members at least 15 days prior to the meeting at which they will be proposed.

    Bylaw Proposal For Membership Consideration (Originally Proposed For April 2016 Business Meeting With Modifications Made By The Current Executive Committee):

    ARTICLE III MEMBERSHIP, Section 7.  Any member whose association dues are not paid prior to the opening of the association’s business meeting via virtual meeting in the fall or winter shall be automatically dropped from membership.

    Be Amended to Read:   Any member whose association dues are not paid prior to the opening of the association’s business meeting via virtual meeting in the winter shall be automatically dropped from membership.


    ARTICLE IV OFFICERS, Section 3. be added to read “The vice president shall assume the position of president-elect after serving one year as vice president.” 

    Sections in ARTICLE IV will be renumbered to reflect this modification.  The following amended sections reflect the modified numbers.


    ARTICLE IV OFFICERS, Section 4. The president-elect, vice president, secretary, and treasurer shall be elected from the active membership of this association annually by a majority vote at the fall business meeting.  Officers shall be eligible for re-elections or re-appointment.

    Be Amended to Read:  The president-elect, vice president, secretary, and treasurer shall be elected from the active membership of this association annually by a majority vote at the winter or next scheduled business meeting.  Officers shall be eligible for re-elections or re-appointment.


    ARTICLE IV OFFICERS, Section 7.  The newsletter editor shall be appointed by the president following the NBEA Convention winter meeting.  The newsletter editor shall attend the executive committee and association business meetings.

    ARTICLE IV OFFICERS, Section 9.  At the business meeting held via meeting the nominating committee shall present a slate of candidates, one person for each elected office.  Nominations may be made from the floor.  A majority vote shall be necessary to elect.

    ARTICLE IX ELECTRONIC MEETINGS, Section 1.  The NASBE executive committee, standing committees, and special committees are authorized to meet by telephone conference or through other electronic communications media so long as all the members of the executive committee, standing committee, or special committee may simultaneously hear each other and participate during the meeting.

    Be Amended to Read:  Business meetings shall be held virtually via telephone conference or through other electronic communications media so long as all the members may simultaneously hear each other and participate during the meeting.


    ARTICLE IX ELECTRONIC MEETINGS, Section 2.  be added to read “The executive committee, standing committee, and special committees are authorized to meet virtually by telephone conference or through other electronic communications media so long as all the members of the executive committee, standing committee, or special committee may simultaneously hear each other and participate during the meeting.

    ARTICLE X AMENDMENTS, Section 2. The presiding officer shall have the proposed amendment read and presented to the membership. At a business meeting of the association a two‐thirds vote shall be required for adoption of any amendment to these bylaws.

    ARTICLE VI MEETINGS, Section 2. The active members present at the scheduled semiannual meetings shall constitute a quorum for the transaction of business.

    Minutes from the February 2019 Semi-Annual Business Meeting

    The February 25 Business Meeting has concluded.  The membership in attendance at the business meeting voted to approved the Executive Boards recommendation to increase membership dues from $20 to $30 for the 2019-2020 school year to support an enhanced website that will provide membership, communication and event services.   Interested in past Executive Board, Business Meeting, and Rap Session business?    View the draft meeting minutes that will be approved at our next Business Meeting.
